Terms & Conditions

These Terms and Conditions ("Terms") govern your access to and use of the Projectsmate platform, including the website, web application, mobile applications, and any related services (collectively, the "Service") operated by SXE Technologies Pvt Ltd ("Projectsmate," "we," "us," or "our").

By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

1. Definitions

"Account" means the account created by a User to access the Service.

"Customer" means the architecture studio or business entity that subscribes to the Service.

"Service" means the Projectsmate software platform, including all features, mobile applications, integrations, and supporting infrastructure.

"Subscription" means a paid plan that grants access to specific features and usage limits of the Service.

"User"means any individual who accesses the Service through a Customer's Account, including administrators and team members.

"User Content" means any data, information, files, documents, or other content uploaded, submitted, or transmitted by a User through the Service.

2. Eligibility

To use the Service, you must be at least 18 years of age and capable of entering into legally binding contracts. By using the Service, you represent that you meet these requirements.

If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

3. Account Registration

To access the Service, you must register an Account by providing accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your Account. You agree to notify us promptly of any unauthorized access or use of your Account.

We reserve the right to refuse, suspend, or terminate Accounts at our discretion, including where required to protect the integrity of the Service or other Users.

4. Subscription Plans and Payment

The Service is offered through a Free plan, paid Pro plans tiered by project count, and Custom plans. Plan features, usage limits, and pricing are published on our website and may be updated from time to time.

Paid plans are billed monthly or annually, in advance, in accordance with the plan selected. All payments are processed through our authorized payment partners. Subscription fees are non-refundable except where required by applicable law or as expressly stated in these Terms.

New Customers may be offered a trial period with full Pro access. At the end of the trial, the Account will automatically downgrade to the Free plan unless a paid Subscription is selected. Existing data within Free plan limits will remain accessible after downgrade.

We reserve the right to change pricing, plan features, or billing terms. Existing Customers will be notified of material changes in advance and may continue under their existing plan terms for any pre-paid period.

5. License Grant

Subject to your compliance with these Terms and timely payment of applicable fees, Projectsmate grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your own internal business purposes.

This license is granted solely for the duration of your active Subscription or, for Free plan Users, for as long as your Account remains in good standing.

6. Intellectual Property

The Service, including all software, source code, designs, user interfaces, branding, content, documentation, and related intellectual property, is owned by Projectsmate or its licensors and is protected by applicable intellectual property laws.

Nothing in these Terms transfers any ownership rights in the Service to you. All rights not expressly granted are reserved by Projectsmate.

User Content remains the property of the Customer. By using the Service, you grant Projectsmate a limited, worldwide, royalty-free license to host, store, process, and display User Content solely for the purpose of providing and improving the Service.

7. Acceptable Use

You agree not to do any of the following, directly or indirectly, in connection with the Service:

  • Copy, reproduce, modify, adapt, translate, or create derivative works of the Service or any part of it.
  • Reverse engineer, decompile, disassemble, or attempt to derive the source code, structure, or underlying ideas of the Service.
  • Use the Service or any information accessed through it to develop, market, or distribute a product or service that competes with the Service.
  • Resell, sublicense, rent, lease, lend, or otherwise commercialize access to the Service without our prior written consent.
  • Use automated tools, scripts, or bots to access the Service except through documented APIs.
  • Interfere with, disrupt, or circumvent any security, access controls, or rate limits of the Service.
  • Use the Service for any unlawful, fraudulent, deceptive, or harmful purpose.
  • Upload or transmit content that infringes any third-party rights, contains malicious code, or violates applicable law.
  • Misrepresent your identity or affiliation, or impersonate any person or entity.

Violations of this section may result in immediate suspension or termination of your Account and may subject you to legal action.

8. User Content and Data

You retain ownership of all User Content you upload to the Service. You are solely responsible for the accuracy, legality, and quality of User Content.

You represent and warrant that you have all necessary rights to upload and use User Content through the Service, and that doing so does not violate any third-party rights or applicable laws.

We will use reasonable measures to protect User Content. However, you acknowledge that no system is entirely secure, and you are responsible for maintaining appropriate backups of critical data.

Upon termination of your Account, User Content will be retained for a period of thirty days, during which you may request export of your data. After thirty days, User Content may be permanently deleted from our systems.

9. Confidentiality

In the course of using the Service, you may access information about Projectsmate's business processes, product roadmap, internal methodologies, pricing, or other non-public information ("Confidential Information"). You agree to treat such information as confidential, not to disclose it to any third party, and not to use it for any purpose other than your authorized use of the Service.

Confidential Information does not include information that is publicly known through no breach of these Terms, independently developed without reference to Confidential Information, or rightfully received from a third party without confidentiality obligations.

10. Privacy

Our handling of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection, use, and processing of personal data as described in the Privacy Policy.

11. Third-Party Services and Integrations

The Service may include integrations with or links to third-party services. Your use of such third-party services is subject to the terms and policies of those providers. Projectsmate is not responsible for the availability, content, accuracy, or practices of third-party services.

12. Suspension and Termination

You may terminate your Account at any time by contacting us or through the Account settings interface. Termination will take effect at the end of the current billing period, and no refunds will be issued for unused portions except as required by law.

We may suspend or terminate your Account, with or without notice, if you breach these Terms, fail to pay applicable fees, or engage in conduct that we reasonably determine to be harmful to other Users, the Service, or Projectsmate.

Provisions that by their nature should survive termination, including those relating to intellectual property, acceptable use, confidentiality, indemnification, limitation of liability, and governing law, will continue to apply.

13. Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, Projectsmate disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or trade usage.

We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components, or that defects will be corrected.

14. Limitation of Liability

To the maximum extent permitted by applicable law, Projectsmate shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, revenue, data, goodwill, or business opportunities, arising out of or in connection with the Service or these Terms, even if advised of the possibility of such damages.

Projectsmate's total cumulative liability for any claim arising out of or relating to these Terms or the Service shall not exceed the total amount paid by you to Projectsmate in the twelve months preceding the event giving rise to the claim, or one hundred Indian Rupees, whichever is greater.

15. Indemnification

You agree to defend, indemnify, and hold harmless Projectsmate and its directors, officers, employees, and agents from any claims, damages, liabilities, losses, costs, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, your User Content, or your breach of these Terms.

16. Changes to the Terms

We may update these Terms from time to time. When we make material changes, we will notify Customers through the Service or by email. Continued use of the Service after the effective date of updated Terms constitutes acceptance of the changes.

If you do not agree to the updated Terms, you may terminate your Account before the updated Terms take effect.

17. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.

Any dispute arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts located in Kochi, Kerala, India.

The parties shall first attempt to resolve any dispute through good-faith negotiation. If resolution is not reached within thirty days, the dispute shall be referred to arbitration in accordance with the Arbitration and Conciliation Act, 1996, with a single arbitrator appointed by mutual agreement. The seat of arbitration shall be Kochi, Kerala, and the language of arbitration shall be English.

18. Miscellaneous

These Terms, together with any policies referenced herein, constitute the entire agreement between you and Projectsmate regarding the Service and supersede any prior agreements relating to the subject matter.

If any provision of these Terms is held to be unenforceable, the remaining provisions shall remain in full force and effect.

The failure of Projectsmate to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. Projectsmate may assign these Terms in connection with a merger, acquisition, or sale of assets.

These Terms do not create any agency, partnership, joint venture, or employment relationship between you and Projectsmate.
